Skyworth Releases September Status Update on Share Buy-Back Scheme and Photovoltaic Spin-Off Listing

Skyworth Group Limited issued its scheduled monthly progress update on 17 September 2026, detailing the status of its four-part corporate restructuring plan: (1) a pre-conditional share buy-back via a scheme of arrangement under Section 99 of the Bermuda Companies Act; (2) the distribution of all Skyworth Photovoltaic shares now held by Skyworth to existing shareholders; (3) a special deal covering rollover arrangements; and (4) the subsequent withdrawal of Skyworth’s listing from the Hong Kong Stock Exchange (HKEX).

Key developments and remaining hurdles: • Pre-Condition (a) – shareholder approval at Skyworth Photovoltaic – was fulfilled and disclosed in the 18 June 2026 update. • Pre-Condition (b) – regulatory clearance for the Skyworth Photovoltaic A-share listing – is still outstanding. Required approvals include: ‑ a filing notice from the China Securities Regulatory Commission (CSRC); ‑ approval-in-principle from HKEX; and ‑ any other consents or filings needed from competent authorities. Skyworth Photovoltaic and its advisers are preparing the necessary application and supporting materials.

No material changes have occurred since the 17 August 2026 update; consequently, the scheme document has not yet been dispatched. The company reaffirmed that the entire proposal will become effective only after all Pre-Conditions, Scheme Conditions and Distribution Conditions are satisfied or waived, including approval of the rollover arrangement under Rule 25 of the Takeovers Code.

Investors were reminded that the share buy-back scheme and planned delisting may or may not proceed. The board will issue further announcements in accordance with HKEX Listing Rules and the Takeovers Code as soon as material developments arise.

The announcement was authorised by Chief Executive Officer Mr Shi Chi on behalf of the board, which currently comprises five executive directors and three independent non-executive directors.
