Fosun Pharma Executes HKD 22.77 Million H-Share Buyback, Trimming Free Float by 0.24%

Shanghai Fosun Pharmaceutical (Group) Co., Ltd. (Fosun Pharma) reported a repurchase of 1.30 million H shares on 18 September 2026 through on-market transactions on the Hong Kong Stock Exchange, according to its Next Day Disclosure Return filed on the same date.

The shares were bought at prices ranging from HKD 17.35 to HKD 17.58, with a volume-weighted average repurchase price of HKD 17.52 per share. Total consideration amounted to HKD 22.77 million, and all repurchased shares are being held as treasury shares.

Following the transaction, Fosun Pharma’s issued share capital (excluding treasury shares) decreased to 531.21 million, down 0.24% from 532.51 million on 17 September 2026. Treasury shares outstanding increased to 20.73 million, keeping the total number of issued shares unchanged at 551.94 million.

The buyback forms part of the repurchase mandate approved by shareholders on 16 June 2026, authorising the company to repurchase up to 54.10 million shares. Cumulative repurchases under this mandate now stand at 9.76 million shares, representing approximately 1.80% of the company’s issued share count on the mandate date. In line with Hong Kong listing rules, Fosun Pharma is subject to a moratorium on new share issues or treasury share disposals until 18 October 2026.

The company affirmed that the repurchase complied with all Main Board Listing Rules and that no material changes have occurred to the explanatory statement contained in its 11 May 2026 circular.
