Arta TechFin Plans 20% New Share Mandate, 10% Buy-Back Authority and Board Refresh Ahead of 29 Sept 2026 AGM

Arta TechFin Corporation Limited will ask shareholders to approve a refreshed set of share mandates and re-elect three directors at its annual general meeting scheduled for 29 September 2026 in Hong Kong.

Key proposals • Issuance Mandate – Directors seek authority to allot and issue up to 279.11 million new shares, representing 20% of the current 1.40 billion issued shares. • Repurchase Mandate – The board requests authority to buy back up to 139.55 million shares, or 10% of the existing share base. • Extension of Issuance Mandate – Shares repurchased under the buy-back authority may be added to the new issue limit, further enlarging the potential issuance capacity.

Board composition • Re-election: – Ms Wong Pui Shan (Non-executive Director) – Mr Zhang Guangying (Independent Non-executive Director) – Mr Mak Tsz Yeung (Independent Non-executive Director)

• Retirement: Independent Non-executive Director Ms Jiao Jie will step down and will not stand for re-election.

• Major shareholder: Chairman Dr Cheng Chi-Kong, Adrian SBS, JP controls a combined 774.93 million shares (55.53% of issued capital) through three investment vehicles. If the full 10% buy-back mandate is exercised and no other changes occur, his deemed interest could rise to 61.70%. Management stated it has no present intention to repurchase shares to a level that would breach the 25% public-float requirement.

Other AGM business • Adoption of audited results for the year ended 31 March 2026. • Re-appointment of CLA Prism Hong Kong Limited as external auditor.

Trading data During the 12-month period to 2 September 2026, Arta TechFin’s shares traded between HKD 0.33 and HKD 0.98. The company made no share repurchases in the six months preceding the circular’s publication.

Shareholders must lodge proxy forms with Computershare Hong Kong Investor Services by 27 September 2026 to vote in absentia. The register of members will be closed from 24 to 29 September 2026 (both days inclusive).
